1. Acceptance and Changes

By using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. We may update these Terms from time to time. We will make the current version available on our website and, where appropriate, in the application. Continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not accept the changes, you must stop using the Service.

2. Description of the Service

ReceiptHubAI is a desktop application that helps you find, extract, organize, and export receipt and invoice data from your email accounts (e.g. Gmail, Outlook). The application runs on your computer and may use AI (including third-party services such as OpenAI) to categorize and extract data when you choose to use those features. The Service includes the software, our website, and any documentation or support we provide.

We may add, change, or discontinue features or platforms (e.g. Windows, macOS, Linux) at our discretion. We do not guarantee availability of any specific feature or platform.

3. License and Use Rights

Subject to these Terms and any applicable subscription or payment terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use ReceiptHubAI for your personal or internal business use, in accordance with the documentation and any usage limits that apply to your plan (e.g. trial or paid tier).

You may not:

• Copy, modify, distribute, sell, or create derivative works of the software (except as permitted by applicable law);
• Reverse engineer, decompile, or disassemble the software except to the extent allowed by law;
• Remove or alter any copyright or proprietary notices;
• Use the Service for any illegal purpose or in violation of these Terms;
• Share your license or access in a way that circumvents usage limits or subscription terms.

4. Your Responsibilities

You are responsible for:

• Lawful use: Using the Service only in compliance with applicable laws and regulations and with the terms of your email and other service providers.
• Your data and accounts: The security of your email accounts, API keys (e.g. OpenAI), and any data you process. We are not responsible for unauthorized access to your accounts or data due to your actions or omissions.
• Accuracy and reliance: Verifying the accuracy of any extracted or processed data before using it for business, tax, or legal purposes. The Service is a tool to assist you; it does not replace professional advice.
• No misuse: Not using the Service to send spam, infringe others’ rights, or process data you are not entitled to use.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service, or have the consent of a parent or guardian.

5. Fees and Subscription

Some features may require a paid subscription or one-time purchase. Fees, billing cycles, and payment methods will be presented at the point of purchase or in the application. By subscribing or purchasing, you agree to the applicable pricing and payment terms.

Subscriptions may renew automatically unless cancelled in accordance with the instructions we provide. Refunds are subject to our refund policy (as stated at purchase or on our website). We may change fees for future renewal periods with reasonable notice where required by law.

We use third-party payment processors (e.g. Paddle). Your payment and any related data are also subject to the processor’s terms and privacy policy.

6. Intellectual Property

ReceiptHubAI, the ReceiptHubAI name and logo, our website, and all related content, design, and materials are owned by Intuidat Ltd or our licensors and are protected by copyright and other intellectual property laws. These Terms do not grant you any ownership in the Service or our branding. You retain ownership of your own data and content that you process using the Service.

7. Disclaimers

To the fullest extent permitted by law:

• We disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
• We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
• AI-generated or extracted data may be incomplete or incorrect. You are responsible for verifying all data before using it for tax, accounting, or legal purposes.
• ReceiptHubAI does not provide tax, legal, or financial advice. You should consult qualified professionals for such matters.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the above exclusions apply only to the extent permitted by law.

8. Limitation of Liability

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us (if any) in the twelve (12) months preceding the claim, or one hundred pounds sterling (GBP 100), whichever is greater.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Intuidat Ltd and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms or any law; (c) your violation of any third-party rights; or (d) any content or data you process or submit through the Service.

10. Termination

We may suspend or terminate your access to the Service (or any part of it) at any time, with or without cause or notice, including for breach of these Terms. Upon termination, your license to use the software ceases and you must stop using and, if we request, uninstall the software.

You may stop using the Service at any time. If you have a subscription, cancellation will typically take effect at the end of your current billing period in accordance with our subscription terms.

Sections that by their nature should survive (including Sections 6–9 and 11–12) will survive termination.

11. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where you are a consumer and mandatory consumer protection laws in your country give you the right to bring proceedings in your place of residence.

12. General

Entire agreement: These Terms, together with our Privacy Statement and any subscription or purchase terms, constitute the entire agreement between you and Intuidat Ltd regarding the Service.

Severability: If any part of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

Waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms or your rights under them without our written consent. We may assign our rights and obligations without restriction.
